Ben has over 20 years of experience advising an array of clients on corporate transactions and other matters, including privately-held businesses, publicly-listed companies, private fund managers and independent sponsors, real estate developers, start-up companies, and high net worth individual investors.

He regularly counsels businesses and other transactional participants in corporate matters of various stripes including mergers and acquisitions, private and public securities offerings and other securities compliance matters, private fund formation, private fund portfolio company investments, structuring and negotiating equity and debt investment on behalf of independent sponsors, equity incentive compensation matters, and corporate governance issues.

Ben also has knowledge and experience with transactional tax considerations and regularly assists clients in identifying and analyzing issues in that realm.
