Factors influencing terms that will eventually be incorporated in the PSA include, among others, industry-specific issues, jurisdictional considerations, property type and location, financing, and how quickly the parties are seeking to close. Counsel should understand pre-drafting considerations to drive contract negotiation to best protect their clients’ interests.
