Acquisition of Cannabis Companies 

Members of our Cannabis & Hemp Group acted for a SPAC in its acquisition of five Cannabis Companies in Nevada and Massachusetts, forming the basis of our client's qualifying transaction. Since then, we have acted on a number of additional cannabis company acquisitions for the client in multiple states as well as with the sale of one business unit. This transactional work has included due diligence, negotiation of purchase agreements and other ancillary documents, HSR filings, working closely with local cannabis regulatory counsel for deals outside of New York State to obtain regulatory approvals, and preparing for and guiding closings. In most of these transactions, part of the consideration paid to Sellers was in the form of acquisition company shares that are exchangeable into public company shares.
