Acted as transaction counsel in substantial and stretgic transaction resulting in $94 million dollar acquisition 

Hodgson Russ acted as transaction counsel to Titan Machinery Inc. (Nasdaq: TITN), in connection with its acquisition of Heartland Ag Systems, which transaction as effected through the acquisition of Heartland Agriculture LLC, Heartland Solutions, LLC and Heartland Leverage Lender, LLC, each under a separate purchase agreement with the sellers. This was a substantial and strategic transaction that provided Titan Machinery with access to Case IH’s full-line of application equipment products (self-propelled sprayers and fertilizer applicators), enhancing competitiveness, and added 12 dealership locations to Titan Machinery’s existing dealership footprint. Hodgson Russ assisted with all aspects of the transaction, including transaction structuring, negotiation of the purchase agreements, financing matters, securities law compliance matters, competition law advice, advice on other subject matter areas in connection with the transaction and negotiation of the representations and warranties insurance policy obtain for the transaction by Titan Machinery.
